Continental (CTTAY) Confirms EUR 4 Billion ContiTech Sale To Lone Star Funds With Performance Bonuses On Table

Continental AG (CTTAY.PK, CONG.DE, CON.DE) has confirmed it is in the final stages of completing an agreement to sell its ContiTech group sector to private equity firm Lone Star Funds.

The German automotive supplier’s Executive Board and Supervisory Board have both already approved the purchase agreement, signalling strong internal alignment behind the divestiture.

The transaction is based on a company valuation of 4 billion euros, making it one of the more significant industrial divestitures seen in the European market this year.

Beyond the headline figure, the deal includes the possibility of additional performance-based components amounting to up to 250 million euros in subsequent years.

Those earn-out provisions mean the total value of the transaction could ultimately exceed the base 4 billion euro valuation, depending on how ContiTech performs post-sale.

ContiTech is a major industrial division within Continental, producing components and systems for a range of industries including automotive, machinery, and mining sectors globally.

The sale represents a significant strategic shift for Continental as the company continues to streamline its operations and focus on its core automotive technology businesses.

Lone Star Funds, a global private equity firm, has a history of acquiring industrial and financial assets, making the ContiTech acquisition consistent with its broader investment strategy.

Continental’s confirmation came in direct response to media reports that had been circulating about the advanced state of negotiations between the two parties.

The completion of this deal would allow Continental to redeploy capital toward higher-priority segments as the automotive industry navigates ongoing pressures from electrification and global supply chain restructuring.

Investors will be watching closely to see whether the final agreement is formalised and whether ContiTech’s performance in coming years unlocks the full 250 million euro earn-out ceiling.
