Investec Bank Discloses Significant Share Dealings In Gamma Communications Plc

Investec Bank plc has filed a public dealing disclosure under Rule 8.5 of the Takeover Code relating to ordinary shares in Gamma Communications Plc.

The disclosure was filed in Investec’s capacity as an exempt principal trader with recognised intermediary status, dealing in a client-serving capacity.

Investec serves as Joint Broker to Gamma Communications Plc, establishing its connection to the offer party named in the regulatory filing.

The dealings were undertaken on 4th August 2026, with the formal disclosure submitted to a Regulatory Information Service on 5th August 2026.

According to the filing, Investec purchased a total of 82,076 ordinary shares in Gamma Communications, with prices ranging from a low of 961.67 pence to a high of 966 pence per unit.

On the sell side, Investec also recorded sales of 82,076 ordinary shares, with prices ranging between 960 pence and 966 pence per unit during the same dealing period.

The matched volume on both the purchase and sale sides indicates the trades were conducted in Investec’s capacity as a market intermediary rather than as a principal investor taking a directional position.

The filing confirms there were no cash-settled derivative transactions, stock-settled derivative transactions, or options activity associated with these dealings.

Investec also confirmed there are no indemnity arrangements, option agreements, or understandings relating to voting rights or future acquisition of Gamma Communications securities.

The contact named in the disclosure is Abhishek Gawde, reachable by telephone, with the filing made in compliance with the UK Takeover Panel’s dealing disclosure framework.

Rule 8.5 of the Takeover Code requires exempt principal traders connected to any party in a takeover situation to publicly disclose dealings conducted in a client-serving capacity on a daily basis.

Gamma Communications Plc is a cloud communications provider, and any dealings in its securities during an offer period are subject to heightened regulatory transparency requirements under the Code.
