Griffon Corporation (GFF) CFO And Two Executives Sell Shares Following Post-Earnings Stock Pop

Griffon Corporation (NYSE: GFF) Chief Financial Officer Brian G. Harris sold 11,050 shares of company stock on August 5, according to an SEC Form 4 filing.

The transaction carried a value of approximately $1.1 million, based on a weighted average sale price of $103.27 per share across multiple trades.

Execution prices ranged from $103.00 to $104.05 per share, reflecting trades spread across the session rather than a single block transaction.

The sale reduced Harris’s direct equity holdings by roughly 8%, leaving him with 133,916 shares held directly and 4,944 shares indirectly through an Employee Stock Ownership Plan.

His total post-transaction holdings stand at approximately 138,860 shares, with a beneficial ownership value of $14.28 million based on the August 5 market close of $102.81.

Harris was not alone in selling, as two other senior Griffon executives also reported dispositions on the same day, making the move look more like a coordinated leadership decision than an isolated personal trade.

The timing of all three sales coincided with a strong post-earnings reaction, with Griffon shares jumping 10% on the day the quarterly results were released.

Griffon’s fiscal third-quarter results gave executives a compelling window in which to act, with revenue rising 7% to $481 million and adjusted earnings reaching $1.51 per share.

The company also reaffirmed its full-year targets of $1.8 billion in revenue and $458 million in adjusted EBITDA, giving investors little fundamental reason to be alarmed by the insider activity.

Griffon has aggressively returned capital to shareholders in recent years, having repurchased more than 12 million shares since April 2023, which adds an interesting contrast to the insider selling.

Shares climbed another 3% on the Friday following the earnings report and are now up more than 50% over the trailing twelve months, hitting record highs in the process.

The stock was priced at $106.30 as of the August 6 market close, giving Griffon a market capitalization of $4.9 billion with trailing-twelve-month revenue of $2.5 billion.

Griffon manufactures and distributes consumer, professional, and home and building products through global subsidiaries, serving residential and commercial markets across North America, Europe, Australia, and other international territories.

The company operates primarily through its Consumer and Professional Products division, generating revenue through direct sales, distribution partnerships, and retail channels.

While the simultaneous selling by three top executives into a single post-earnings spike raises eyebrows, the underlying business metrics and continued share price momentum suggest the company itself remains on solid footing.
