Investec Bank Plc (INVP.L) Discloses Tribal Group Plc (TRB.L) Share Dealings Under Takeover Code Rule 8.5

Investec Bank Plc has filed a Form 8.5 public dealing disclosure relating to ordinary shares in Tribal Group Plc, as required under Rule 8.5 of the Takeover Code.

On the disposal side, Investec sold 205,026 ordinary shares, with prices ranging from a low of 101p to a high of 103.5p per unit.

No cash-settled derivative transactions, stock-settled derivative transactions, or options were involved in the disclosed dealings.

Investec confirmed that no indemnity arrangements, option agreements, or other formal or informal understandings existed that might constitute an inducement to deal or refrain from dealing.

The bank also confirmed no agreements or understandings relating to voting rights or future acquisition and disposal of relevant securities through derivatives.

The disclosure was submitted by contact Abhishek Gawde and is consistent with obligations under the UK Takeover Panel’s regulatory framework for market transparency during offer periods.

Public disclosures of this nature under Rule 8 of the Takeover Code are required to be submitted to a Regulatory Information Service to ensure market participants have access to timely trading information.

Tribal Group Plc shares, trading on the London Stock Exchange under the ticker TRB.L, rose 1.49% around the time of the disclosure, while Investec shares under INVP.L gained 1.55%.
