Investec Bank Plc Files Regulatory Dealing Disclosure For SThree Plc (STEM.L)

Investec Bank Plc has filed a Form 8.5 disclosure under Rule 8.5 of the Takeover Code, covering dealings in SThree Plc ordinary shares on 16th October 2026.

The disclosure identifies Investec as an exempt principal trader operating with recognised intermediary status, acting in a client-serving capacity during the transactions.

Investec noted its existing relationship with SThree Plc (STEM.L), confirming that it serves as Joint Broker to the STEM recruitment specialist.

The filing covers purchases and sales of SThree ordinary shares conducted on 16th October 2026, with both sides of the transaction involving identical volumes.

Investec purchased a total of 58,939 ordinary shares, with prices ranging from a low of 316 pence per unit to a high of 318 pence per unit.

On the sales side, Investec also disposed of 58,939 ordinary shares across the same price range of 316 to 318 pence per unit.

The matched volumes on both the purchase and sales sides are consistent with activity typical of a principal trader dealing on behalf of clients in a market-making capacity.

Investec confirmed there were no cash-settled derivative transactions, stock-settled derivative transactions, or other dealings to disclose alongside the ordinary share activity.

The bank also stated there are no indemnity arrangements, options, or any formal or informal agreements that could be considered an inducement to deal or refrain from dealing.

No agreements or understandings relating to voting rights or future acquisition and disposal of relevant securities through derivatives were reported, with the disclosure simply noting “none” in each applicable section.

The disclosure was submitted on 19th October 2026, with contact details attributed to Abhishek Gawde, reachable at +91-9923757332 for any follow-up enquiries.

Public disclosures of this nature under Rule 8 of the Takeover Code are required to be filed with a Regulatory Information Service to ensure transparency during offer periods.
