Investec Bank Plc (INVP.L) Files Regulatory Dealing Disclosure For SThree Plc (STEM.L)

Investec Bank Plc has submitted a Form 8.5 regulatory disclosure relating to share dealings in STEM-focused recruitment firm SThree Plc (STEM.L).

The disclosure was filed under Rule 8.5 of the Takeover Code, which governs public dealing disclosures by exempt principal traders with recognised intermediary status.

Investec Bank Plc acted in a client-serving capacity for the transactions, with the bank serving as Joint Broker to SThree Plc.

The dealings were undertaken on 19th October 2026, with the disclosure formally published the following day on 20th October 2026.

In terms of purchases, Investec acquired 190,680 ordinary shares in SThree Plc, with prices ranging from a low of 317p to a high of 319.5p per unit.

On the sales side, Investec sold a larger volume of 208,104 ordinary shares, with prices ranging from 318.75p to 322p per unit.

The higher volume of shares sold compared to shares purchased reflects typical market-making activity carried out by an exempt principal trader operating in a client-serving role.

Investec confirmed there are no indemnity arrangements, options, or other agreements that could act as an inducement to deal or refrain from dealing in SThree securities.

The bank also confirmed there are no agreements or understandings relating to voting rights or future acquisition and disposal of relevant securities to which any derivative is referenced.

The contact named in the disclosure is Gary Darch, reachable by telephone at 0207 597 4549, for any queries relating to the filing.

Such regulatory disclosures are a standard requirement under the Takeover Code and must be submitted to a Regulatory Information Service to maintain market transparency.

The Takeover Panel’s Market Surveillance Unit remains available for consultation regarding dealing disclosure requirements under the Code.
