Investec Bank (INVP.L) Sells 125,000 Advanced Medical Solutions (AMS.L) Shares While Buying Far Fewer In Dual-Role Trading Disclosure

Investec Bank Plc offloaded 125,000 ordinary shares in Advanced Medical Solutions Group Plc on 4 November 2026, nearly three and a half times the volume it simultaneously purchased.

The bank acquired just 35,908 ordinary shares in the same session, creating a notable asymmetry between its buying and selling activity in the medical firm’s stock.

Investec’s sell transactions were executed at a flat price of 282.5 pence per share across the entire 125,000-share block, suggesting a single or tightly managed disposal.

On the purchase side, prices ranged narrowly between 282.55 pence and 282.75 pence per unit, indicating the buying activity occurred across a slim but distinct band within the trading day.

The disclosure carries particular significance because Investec occupies a dual role in relation to Advanced Medical Solutions Group, serving simultaneously as the company’s financial adviser and joint broker.

That relationship requires Investec to file public dealing disclosures under Rule 8.5 of the Takeover Code, which governs exempt principal traders operating with recognised intermediary status in a client-serving capacity.

The formal disclosure, submitted to a Regulatory Information Service on 5 November 2026, confirms the bank was dealing in a client-serving capacity rather than taking proprietary directional positions.

Investec reported no cash-settled derivative transactions, no stock-settled derivatives or options activity, and no other dealings of any kind connected to Advanced Medical Solutions during the period.

The bank also stated that no indemnity arrangements, option agreements, or formal or informal understandings exist that could constitute an inducement to deal or refrain from dealing in the relevant securities.

Similarly, Investec confirmed the absence of any agreements relating to voting rights or the future acquisition or disposal of securities to which any derivative might be referenced.

The filing was prepared under the oversight framework administered by the Takeover Panel, whose Market Surveillance Unit monitors compliance with dealing disclosure obligations across all parties connected to live offer situations.

Rule 8.5 disclosures of this type are a routine but closely watched feature of the regulatory landscape whenever a company is subject to a takeover offer or possible offer scenario.

Advanced Medical Solutions Group Plc trades on the London Stock Exchange under the ticker AMS.L, while Investec Bank Plc carries the ticker INVP.L in London and INL.JO on the Johannesburg exchange.
