Investec Bank Discloses Significant Share Dealings In Gooch & Housego Plc Amid Takeover Code Obligations

Investec Bank plc has filed a formal public dealing disclosure relating to ordinary shares in precision photonics and optical components manufacturer Gooch & Housego plc.

The disclosure was made under Rule 8.5 of the Takeover Code, which governs dealings by exempt principal traders operating in a client-serving capacity with recognised intermediary status.

Investec Bank plc confirmed its role in the disclosure as both advisor and broker to Gooch & Housego plc, establishing its connected party status under the relevant provisions of the Code.

The dealings were undertaken on 23rd July 2026, with the formal public disclosure filed the following day on 24th July 2026, in compliance with regulatory information service requirements.

According to the filing, Investec purchased a total of 63,744 ordinary shares in Gooch & Housego plc, with prices ranging from a low of 1220p to a high of 1222p per unit.

On the same date, Investec also recorded sales of 65,035 ordinary shares in the company, with both the highest and lowest price per unit recorded at 1222p.

The volume and pricing data indicates that Investec was operating in a market-making or client-facilitation capacity, balancing purchase and sale activity within a narrow price range.

No cash-settled derivative transactions, stock-settled derivative transactions, or other dealings such as subscriptions or conversions were reported as part of this disclosure.

Investec confirmed that no indemnity arrangements, option agreements, or other formal or informal understandings exist that could constitute an inducement to deal or refrain from dealing in Gooch & Housego securities.

The bank similarly confirmed the absence of any agreements relating to voting rights or the future acquisition or disposal of securities referenced to any derivative instrument.

The contact named in the disclosure is Priyali Bhattacharjee, and the filing was submitted in accordance with obligations set out by the UK Takeover Panel, whose Market Surveillance Unit oversees compliance with dealing disclosure requirements under the Code.
