Victory Capital (VCTR) ETF Chief Converts Shares After Stock Hits Price Target Milestone

Victory Capital Holdings (NASDAQ: VCTR) disclosed that a senior insider disposed of shares tied to a performance-based compensation milestone, according to a recent SEC Form 4 filing.

Mannik S. Dhillon, president of investment franchises and solutions and head of ETFs for Victory Capital, disposed of 6,452 shares of common stock on August 5.

The transaction was valued at approximately $645,000, based on a weighted average sale price of $99.97 per share recorded in the filing.

The disposal was non-discretionary, executed solely to satisfy tax withholding obligations following the vesting of performance-based restricted stock units.

The shares vested after the Compensation Committee approved the achievement of the first of four stock price performance hurdles established in March 2026.

Following the transaction, Dhillon retained a direct position of 307,686 shares, valued at approximately $30.76 million as of the August 5 transaction date.

In addition to those directly held shares, the insider also holds 49,171 derivative securities, according to the filing.

Victory Capital’s ETF business has been a significant driver of the stock performance that triggered this vesting event, with ETF assets climbing 54% over the past year to $23.2 billion.

That ETF division has been growing at a 27% organic rate, contributing to the firm’s record quarterly revenue of $435 million, with CEO David Brown calling it “a landmark period for Victory Capital.”

The company’s broader diversification is reflected in its asset mix, with U.S. equity now representing only about a third of total client assets across its platform.

Victory Capital operates as a global asset management platform delivering investment advisory services, fund administration, compliance support, transfer agent functions, and fund distribution to institutional and individual clients.

The company serves a wide range of clients including institutions, financial intermediaries, retirement plan sponsors, and individual investors across multiple channels.

As of August 6, VCTR shares were trading at $106.79, giving the company a market capitalization of approximately $6.7 billion.

Victory Capital reported trailing twelve-month revenue of $1.6 billion and net income of $460.9 million, reflecting strong financial performance across its diversified asset management business.

The stock had generated a one-year total return of 44% as of August 5, the date on which the performance hurdle vesting was triggered.
