Dynatrace (DT) Acquires AI Observability Firm Arize In $915 Million Cash And Stock Deal

Dynatrace, Inc. (DT) has agreed to acquire AI observability platform Arize in a deal valued at $915 million in cash and stock.

The software intelligence and observability company announced the agreement on Thursday, marking a significant strategic expansion into AI monitoring capabilities.

Under the terms of the deal, approximately $815 million of the total consideration will be paid in cash, with the remainder consisting of replacement equity awards for Arize employees who join Dynatrace.

Dynatrace plans to finance the acquisition using a combination of cash on hand and debt, reflecting the scale and strategic importance of the transaction.

The deal is expected to close either later this quarter or early in Dynatrace’s third quarter, giving both companies a relatively near-term integration timeline.

The acquisition signals Dynatrace’s intent to deepen its foothold in the fast-growing AI observability space, which has become increasingly competitive as enterprises scale their AI deployments.

Dynatrace confirmed the transaction is not expected to materially impact its second quarter fiscal 2027 guidance or its ongoing share repurchase program.

Following the close of the deal, Arize co-founders Jason Lopatecki and Aparna Dhinakaran will both join Dynatrace as part of the integration.

Jason Lopatecki will continue to lead the Arize team within Dynatrace, providing continuity for the platform and its existing customers and developer community.

The addition of Arize’s AI-first team is expected to accelerate Dynatrace’s product roadmap and strengthen its ability to monitor, evaluate, and manage AI models and applications at enterprise scale.

As organisations increasingly deploy large language models and AI-driven applications, demand for observability tools capable of tracking AI behaviour and performance has surged considerably across industries.
