The transaction represented 0.52% of Levie’s equity stake held prior to the filing, making it a relatively modest reduction in his overall holdings.
Following the sale, Levie retains direct ownership of 2,859,673 shares, valued at approximately $97.57 million based on the September 10 closing price of $34.12.
The SEC filing clarifies that a portion of those remaining holdings consists of restricted stock units, which vest upon meeting specific requirements before converting to common stock.
Importantly, the transaction was not a discretionary market move, but rather a non-discretionary sale executed under a Rule 10b5-1 trading plan adopted on March 20, 2026.
