FleetPartners (FPR.AX) Jumps Over 10% As Element Fleet (EFN.TO) Abandons Takeover Pursuit

FleetPartners Group Limited shares surged sharply on Monday after Element Fleet Management Corp. confirmed it would not submit a revised acquisition proposal for the Australian company.

Shares of FPR.AX climbed A$0.42, or 10.17%, to trade at A$4.55 following the announcement that Element had withdrawn from the current sale process entirely.

Element Fleet Management, a pure-play automotive fleet manager, said it completed a Phase 1 review before reaching its decision to step back from the deal.

Following that review, Element concluded that continuing in a competitive process did not provide a certain pathway to a transaction capable of delivering a compelling risk-adjusted return.

The withdrawal marks the end of a pursuit that began publicly in early August, when Element made its initial move toward acquiring the Australia and New Zealand fleet management company.

On August 9, 2026, Element had announced the submission of a non-binding indicative proposal to acquire FleetPartners Group by way of a Scheme of Arrangement at A$3.80 per share in cash.

Element had also offered, on a conditional basis, to increase that consideration to A$4.00 per share under specific conditions tied to an accelerated exclusivity agreement.

That increased offer was conditional on the FleetPartners Board agreeing, prior to 5:00 p.m. Sydney time on August 11, 2026, to enter into a process deed with Element.

The proposed process deed would have included a three-week period of hard exclusivity, during which Element intended to complete due diligence and execute a binding Scheme Implementation Deed.

FleetPartners, which operates across Australia and New Zealand, now continues as an independent company following Element’s exit from the competitive sale process.

The sharp share price rise suggests the market may be pricing in renewed interest from other potential suitors, or simply reacting to the removal of deal uncertainty around the original low offer price.

Element Fleet Management, listed on the Toronto Stock Exchange under the ticker EFN.TO, has not indicated whether it would consider any future approach to FleetPartners or similar targets in the region.
