A striking imbalance in share activity by Investec Bank plc involving Gamma Communications Plc emerged from a regulatory filing dated 6 November 2026.
Acting in a client-serving capacity, Investec disposed of 28,238 ordinary shares in Gamma Communications while purchasing just 3,238 shares during the same session.
Both the purchases and sales were executed at an identical price of 1098 pence per unit, with all transactions occurring on 5 November 2026.
The near nine-to-one ratio of sales to purchases drew attention given Investec’s dual role as Joint Broker to Gamma Communications during an active offer period.
That relationship requires Investec to file public disclosures under Rule 8.5 of the UK Takeover Code whenever it deals in relevant securities in a client-serving capacity.
The filing classifies Investec as an exempt principal trader with recognised intermediary status, a designation that carries specific transparency obligations under the Code.
No derivative activity of any kind was reported, with cash-settled, stock-settled, and all other dealing categories marked not applicable in the submission.
Investec also confirmed there were no indemnity arrangements, option agreements, or any formal or informal understandings relating to voting rights or future acquisitions connected to the securities.
The disclosure was prepared by Abhishek Gawde and submitted to a Regulatory Information Service in compliance with the Panel on Takeovers and Mergers’ market surveillance requirements.
Rule 8 disclosures are a cornerstone of the UK takeover regime, designed to give the market full visibility of dealings by parties with access to price-sensitive information during offer periods.
The Takeover Panel’s Market Surveillance Unit oversees compliance with these requirements and remains available to market participants for guidance on dealing disclosure obligations.
Gamma Communications, listed on the London Stock Exchange under the ticker GAMA.L, is the subject company to which the disclosed transactions relate.
