The disposal was not a voluntary sale but rather a standard withholding of shares to satisfy tax obligations triggered by the vesting of performance-based restricted stock.
Shares were disposed of at a weighted average price of $99.97, consistent with the stock’s market close on the transaction date.
Despite the reduction in direct holdings, Sipp retains 120,628 directly held shares with a post-transaction value of approximately $12.06 million based on the August 5 closing price.
The executive also continues to hold nearly 123,000 derivative securities, including both vested and unvested awards, maintaining substantial alignment with shareholder interests.
The August 5 vesting was tied to the achievement of the first of four stock price performance hurdles built into the equity award structure.
The three remaining hurdles mean Sipp and other insiders only collect the rest of these awards if Victory Capital shares continue to appreciate, directly aligning their interests with incoming investors.
Victory Capital shares have delivered a 44% return over the 12-month period ending on the August 5 transaction date, with the stock closing at $106.79 on August 6.
The strong share price performance was driven in part by a record quarter that saw revenue grow 24% to $435 million, alongside $4.2 billion in net long-term client inflows.
ETF assets climbed 54% over the past year, and the firm’s international book now exceeds $60 billion, underscoring the breadth of the platform’s momentum.
CEO David Brown described the period as “a landmark period for Victory Capital,” a performance that was directly responsible for triggering the vesting event in the first place.
Victory Capital operates as a global asset management platform serving institutional clients, financial intermediaries, retirement plan sponsors, and individual investors across multiple channels.
The company carries a market capitalisation of $6.7 billion, trailing twelve-month revenue of $1.6 billion, and net income of $460.9 million, reflecting its scale and profitability within the asset management sector.
